Tulē Founding Membership Terms and Conditions

These Terms and Conditions (the "Founding Member Terms") govern the Tulē Founding Membership offer (the "Program"). The Program is offered by Milestones Movement Therapy, a California S Corporation doing business as Tulē ("Tulē," "we," "us," "our"), located at 2801 Spafford St., Davis, CA 95618.
By registering for the Program you agree to these Founding Member Terms. If you do not agree, do not register.
1. What these terms do and do not cover
1.1 These Founding Member Terms govern only the Program: how you qualify for Founding Member Status, what that status entitles you to, and how it can be lost.
1.2 These Founding Member Terms are not a membership agreement and do not entitle you to enter or use the Tulē facility. Access to Tulē, billing, cancellation rights, facility rules, waivers, and all other terms of membership are governed by the Tulē Membership Agreement you sign at the time you activate a membership (the "Membership Agreement").
1.3 If these Founding Member Terms conflict with the Membership Agreement, the Membership Agreement controls as to membership, billing, access, and cancellation. These Founding Member Terms control as to the existence, scope, and forfeiture of Founding Member Status.
2. Definitions
"Opening Day" means the first day Tulē is open to the general public at 2801 Spafford St, Davis, California, as announced by Tulē. Tulē sets and announces Opening Day in its sole discretion.
"Registration" means completing the Founding Member signup form on tuledavis.com before Opening Day.
"Activation" means completing the full membership signup process, including selecting a Membership Tier, creating and completing your Tulē account, signing the Membership Agreement, providing a valid payment method, and having your first membership payment successfully processed.
“Eligible Membership” means a standard, ongoing Tulē membership offered at Tulē’s then-current recurring rate and designated by Tulē as eligible for the Program, whether billed every four weeks, monthly, or at another recurring interval. Fixed-term, prepaid, annual, promotional, corporate or group memberships, visit packs, class packs, drop-ins, and complimentary memberships are not Eligible Memberships unless Tulē expressly states otherwise in writing.
"Membership Dues" means the recurring base price of an Eligible Membership, excluding taxes, government fees, processing or late fees, initiation or enrollment fees, add-ons, upgrades, guest charges, and any goods or services purchased separately.
"Founding Member Status" means the status granted under Section 4 and the benefits described in Section 5.
"Founding Member" means an individual who holds Founding Member Status.
3. Registration
3.1 Registration is free. There is no fee, deposit, or payment of any kind to register for the Program. No payment method is collected at Registration. You will not be charged anything unless and until you complete Activation.
3.2 Registration is not a contract for services. Registration does not reserve a membership, guarantee availability of any Membership Tier, create any obligation for Tulē to open, or create any obligation for you to purchase a membership. You may simply not activate, and nothing further will happen.
3.3 Eligibility. You must be 18 years or older and provide accurate, complete registration information. One Registration per person. Duplicate, automated, or bad-faith registrations may be voided.
3.4 Registration window. Registration closes at Opening Day. Tulē may close, pause, or end Registration earlier at its sole discretion, including without prior notice. Registrations submitted after Registration closes are not eligible for the Program.
3.5 Communications. By registering, you agree that Tulē may contact you about the Program, Opening Day, and membership. You may unsubscribe from marketing messages at any time. Your information is handled under the Tulē Privacy Policy at tuledavis.com.
4. How you qualify
To receive and hold Founding Member Status you must meet all three of the following requirements (4.1-4.3):
4.1 Complete Registration before Opening Day.
4.2 Complete Activation of an Eligible Membership within 30 calendar days of Opening Day. Activation may be completed in person at Tulē or online. If Tulē offers Activation before Opening Day, Activation completed during that earlier period also satisfies this requirement.
4.3 Maintain a continuously active Eligible Membership as described in Section 7.
4.4 Failure to qualify. If you do not complete Activation within 30 calendar days of Opening Day, you are not a Founding Member and Founding Member Status is not available to you. This deadline is not extended for any reason, including travel, illness, delay in choosing a tier, or inability to reach the facility, except where Tulē grants an extension in writing at its sole discretion or where an extension is required by law.
5. What Founding Member Status provides
5.1 The discount. Founding Members receive 10% off the Membership Dues of their Eligible Membership, applied to each recurring billing cycle, for as long as they hold Founding Member Status.
5.2 What the discount applies to. The discount applies only to Membership Dues. It does not apply to taxes, government fees, processing fees, late fees, initiation or enrollment fees, add-ons, upgrades, guest fees, no-show or late-cancellation fees, or to any separately purchased goods or services. Separately purchased goods and services include but are not limited to massage, Body Insights assessments, food and beverage, retail and branded merchandise, gift cards, single visits, visit packs, class packs, events, workshops, and private bookings.
5.3 No stacking. The Founding Member discount cannot be combined with any other discount, promotional rate, corporate rate, staff rate, or offer, unless Tulē states otherwise in writing. Where another offer would apply, you receive whichever single discount is greater, not both.
5.4 Perks. Tulē may from time to time extend additional benefits to Founding Members, which may include invitations to events, early access to new offerings, and early access to special offers. These additional benefits are discretionary, are not guaranteed, have no cash value, may differ between Founding Members, and may be changed, reduced, or discontinued at any time without notice. The 10% discount in Section 5.1 is the only benefit Tulē commits to.
5.5 No cash value. Founding Member Status and the discount have no cash value, are not redeemable for cash or credit, and are not refundable.
6. Pricing, tiers, and changes
6.1 The discount is not a rate lock. Founding Member Status entitles you to 10% off Tulē's then-current published Membership Dues for your tier. It does not lock in any specific dollar amount, and it does not exempt you from price increases. If Tulē raises Membership Dues, your discounted price rises with them.
6.2 Changing tiers. You may change your Membership Tier to another Eligible Membership Tier at any time, subject to availability and to any rules applicable to the tier you are moving to, including capacity caps and waitlists. Your Founding Member discount continues to apply at 10% off the then-current Membership Dues for the new tier, provided the new tier is an Eligible Membership and your membership does not lapse during the change.
6.3 Moving to an ineligible plan. If you move to a membership or product that is not an Eligible Membership, the discount does not apply while you hold it. If that change ends your recurring eligible membership, Section 7 applies and Founding Member Status is forfeited.
6.4 Tier availability. Tulē does not guarantee that any particular Membership Tier will be offered, will remain available, or will remain open to new members. Tulē may add, change, rename, restructure, cap, close, or discontinue any Membership Tier at any time. If Tulē discontinues the tier you hold, Tulē will offer you a replacement Eligible Membership, and your Founding Member discount will carry over to it. Moving to that replacement tier does not forfeit Founding Member Status.
6.5 Savings estimates. Any figures Tulē publishes describing expected annual savings are good-faith estimates based on pricing that has not been finalized. They are illustrative only, are not a promise of any specific saving, and do not form part of any agreement between you and Tulē. Actual savings depend on final published pricing, the tier you choose, and how long you remain a member.
7. Staying continuously active
7.1 The requirement. Founding Member Status requires that you keep an Eligible Membership continuously active from Activation onward.
7.2 What does not break continuity. The following do not forfeit Founding Member Status:
• a failed or declined payment, provided the balance is brought current within 14 calendar days of the failed charge;
• a change of payment method, a card reissue, or a billing error caused by Tulē or its payment processor;
• changing between Eligible Memberships under Section 6.2, or moving to a replacement tier under Section 6.4;
• an approved pause taken under Section 8;
• a period during which Tulē closes the facility or suspends memberships for reasons within Tulē's control, including scheduled maintenance or renovation;
• a cancellation you make and reverse, where Tulē reinstates the membership before the next scheduled billing date.
7.3 What breaks continuity. Founding Member Status is forfeited immediately if:
• you cancel your membership;
• you allow your membership to expire, terminate, or lapse without renewal;
• you fail to bring a failed payment current within the period in Section 7.2;
• you request a hold, freeze, or pause other than the pause permitted under Section 8, or exceed the limits of Section 8;
• you move to a membership that is not an Eligible Membership, in a way that ends your recurring eligible membership;
• Tulē terminates your membership for non-payment, for violation of the Membership Agreement or facility policies, or for conduct that endangers or harms other members, guests, or staff;
• you initiate a chargeback against Tulē that is not resolved in your favor.
7.4 Forfeiture is permanent. Once Founding Member Status is forfeited it cannot be reinstated, restored, purchased back, or granted again, including if you rejoin Tulē later. Rejoining after forfeiture places you on standard published pricing. Tulē may waive this in an individual case at its sole discretion, and any such waiver is not a precedent and does not change these terms.
7.5 Death. Founding Member Status ends on the death of the Founding Member and does not pass to any other person or to an estate.
8. Pausing your membership
8.1 A Founding Member may pause their membership once per 12-month period, measured from the date of Activation, for a single period of up to 14 consecutive days.
8.2 A pause must be requested in advance through email and is effective only once Tulē confirms it.
8.3 During a pause, your next recurring charge is deferred by the length of the pause, and you may not access the facility, book visits, or use any membership benefit during the pause.
8.4 Pauses may not be split, banked, carried forward, combined across years, or taken retroactively. A second pause within the same 12-month period, or any pause longer than 14 consecutive days, forfeits Founding Member Status under Section 7.3.
8.5 Nothing in this section limits any right to suspend, cancel, or be refunded that is provided to you by applicable California law, including rights relating to disability, relocation, death, or military service. Where the law gives you a broader right than this section, the law applies.
9. Founding Member Status is personal to you
9.1 Founding Member Status is personal, non-transferable, and non-assignable. It cannot be sold, gifted, traded, inherited, loaned, or transferred to another person for any reason.
9.2 The discount applies only to the Eligible Membership held in the Founding Member's own name. It does not extend to a spouse, partner, family member, household member, guest, or any additional member on a shared, family, or multi-person plan, unless Tulē states otherwise in writing.
9.3 Founding Member Status applies at the Tulē location in Davis, California. If Tulē opens additional locations, the Program does not automatically extend to them.
10. Opening Day, delays, and business changes
10.1 Opening Day may move. Tulē's opening date depends on construction, permitting, inspection, staffing, and other factors. Tulē may change, delay, or postpone Opening Day at any time without liability. If Opening Day moves, the 30-day Activation window in Section 4.2 moves with it.
10.2 If Tulē does not open. If Tulē does not open, the Program ends and no Founding Member Status is granted. Because Registration is free and no payment is collected, no refund is owed and none will be issued.
10.3 Closure, sale, or transfer. Founding Member Status depends on Tulē continuing to operate. If Tulē permanently closes, is sold, merges, transfers its business, or ceases to offer memberships, the Program and Founding Member Status end on that date. A successor is not required to honor the Program unless it agrees in writing to do so. "For life" in any Tulē communication means for the life of your continuously active membership, and it does not extend beyond the life of the business.
11. Program changes and termination
11.1 Tulē may modify, suspend, or end the Program at any time, including closing it to new registrations, in its sole discretion.
11.2 Tulē may modify these Founding Member Terms. Material changes will be posted at tuledavis.com with an updated "Last updated" date, and Tulē will make reasonable efforts to notify registered Founding Members by email. Changes apply prospectively.
11.3 Ending the Program does not by itself cancel the 10% discount for a person who has activated an Eligible Membership and holds Founding Member Status and continues to satisfy Section 7. The discount ends only as provided in Sections 7, 9, 10, and 11.4.
11.4 Tulē may void Founding Member Status obtained through fraud, misrepresentation, duplicate registration, automated entry, or abuse of the Program.
12. General
12.1 Not an offer of credit or a prepaid contract. Registration collects no money and creates no prepayment, deposit, credit, or stored value.
12.2 Taxes. You are responsible for any taxes associated with your membership. The discount is applied to Membership Dues before tax.
12.3 Severability. If any provision of these Founding Member Terms is found unenforceable, the rest remains in effect.
12.4 No waiver. Tulē's failure to enforce any provision is not a waiver of it.
12.5 Governing law and venue. These Founding Member Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any legal action arising solely out of these Founding Member Terms or Founding Member Status must be brought in the state or federal courts located in Yolo County, California. Disputes arising from an activated membership are governed by the Membership Agreement.
12.6 Your legal rights. Nothing in these Founding Member Terms limits any right you have under California law that cannot be waived, including rights under California law governing health studio and fitness service contracts and automatic renewal of subscriptions. Where those laws give you greater rights, those laws apply.
12.7 Entire agreement. These Founding Member Terms, together with the Membership Agreement and the Tulē Privacy Policy, are the entire agreement between you and Tulē regarding the Program, and supersede any prior statement, email, advertisement, FAQ, or verbal representation about the Program.
